Premier Fresh – Charles Domenico Group

Premier Fresh Australia Pty Ltd (Premier Fresh) proposes to purchase 100% of the shares in the following entities that are owned by Carmelo De Domenico and C.A. De Domenico Pty Ltd (the Vendor):

(a)        North Queensland IQF Pty Ltd, and

(b)        Double D Produce Pty Ltd

(collectively, the Domenico Group),

as well as the business, land and assets owned and operated by the Domenico Group.

The Domenico Group and the Vendor are involved in the growing, packing and value add processing for capsicums located in Ayr, Queensland.

Premier Fresh, through its related entities, has had a long-standing commercial relationship with the Domenico Group, with Premier Fresh historically purchasing and marketing a majority of the Domenico Group’s seasonal capsicum production under a marketing agreement.

Premier Fresh, through its related entities known as the Premier Fresh Group, is a horticulture marketer and supply chain operator that operates across a number of fruit and vegetable supply lines.
